Our Sellside Process
The DVS Group offers business owners a staged approach to selling their business; selling to a DVS Group Internal Buyer or selling to an Open Market Buyer. Throughout both avenues, The DVS Group ensures that your sale will be a strategic and financially sound transaction. Selling to The DVS Group’s internal, retained buyers connects you with professionals who desire to purchase a business as soon as possible. With an open market sale, The DVS Group will confidentially introduce you to outside buyers considering your desired industry and business size.
DVS will review historical financial information on the company the same way as a bank and buyer will look at it. Based on that, we will propose a value range for the company. If that’s close to your goal we can move forward, otherwise we probably aren’t the right firm to help you.
Selling to The DVS Group’s internal, retained buyers connects you with professionals who desire to purchase a business as soon as possible.
We assemble a few pages of information on the key points of the business to help buyers determine if they might be interested in the company.
After signing a NDA and reviewing the executive summary, if the buyers indicate a valuation range reasonably close to the expectation of the seller we will connect the parties face to face. This will allow for more detailed Q&A in both directions to determine cultural fit as well as any dealbreakers.

Negotiate the proper fee structure after explaining the scope of work. Let’s be sure we understand how to define a successful engagement.
DVS will write a Confidential Information Memoramdum containing appropriate information for prospective buyers to learn about the company. This is so you don’t have to repeat every detail from square 1 to each individual buyer.
We will proactively contact certain targeted buyers with your approval as well as post the opportunity, where appropriate, to sites like Axial.net.
Generally involves several rounds of fine-tuning the terms of the deal, e.g. seller financing, working capital, transitional post-closing assistance, etc.
DVS works with the buyer’s team to coordinate efforts for legal, financial, and operational due diligence.
In parallel with due diligence, the final purchase documents will be written and address all details of the transaction.
Coordinate final signing of definitive agreements and assist with post-closing adjustments.
