The Deal:
David and Marsha Phillips engaged The DVS Group to assist in transitioning ownership of their business to David’s daughter and son-in-law, Kara and John Ryel, who had been active in the company for over five years. Due to limited capital resources, the buyers initially considered partnering with an outside investor in a structure that would result in shared equity. The DVS Group worked with the family to identify an alternative solution, securing bank financing that eliminated the need for outside investment and preserved full ownership for the buyers. The DVS Group coordinated with all parties, including the lender, to structure and complete the transaction efficiently, successfully navigating changes in tax code and banking requirements during the process. The result was a successful generational transfer in which the Ryels retained 100% ownership, providing both financial and operational benefits moving forward.
