The Deal:
After years of attempting to sell the company at a premium and under a non-standard structure, the seller was approached by the existing management team with an interest in acquiring the business. The management team required a financial partner to complete the transaction, and The DVS Group assisted in evaluating multiple prospective investors before identifying an out-of-town private investor from its internal network. Concurrently, The DVS Group managed the banking requirements for financing, negotiated a structure that addressed the seller’s desired premium valuation and terms, and coordinated with all advisors to successfully execute agreements among the five key parties involved: the management team, private investor, seller, bank, and purchasing entity.
