The Deal:
Brightree LLC approached Strategic AR in the summer of 2013 as part of its broader strategy to enhance its patient billing capabilities within the post-acute care software market. Strategic AR maintained a customer base heavily integrated with the Brightree platform, a relationship that was continuing to grow over time. Given the strategic importance of the transaction, the owner of Strategic AR recognized that a failed process could present significant business risk if Brightree pursued alternative solutions. The DVS Group was engaged to assist in negotiating price and terms, while also recommending legal counsel with both M&A and intellectual property expertise to support the transaction. The parties ultimately structured a deal that included meaningful cash at closing, performance-based participation to balance risk, and favorable employment terms for the seller during the transition period.
